Terms of Use
This Website (as defined in Clause 1 below) is an electronic publication of and a service provided by Insight Selection Group Limited (a company incorporated in the Hong Kong Special Administrative Region) (hereinafter referred to as "Insight Selection").
Any and all access to and use of this Website are subject to, and constitute each Visitor’s (as defined in Clause 1 below) acknowledgment and acceptance of, the following terms ("Terms of Use"). Each Visitor also agrees to accept and comply with any and all other guidelines, notices, operating rules, policies and instructions pertaining to the access and use of this Website, as well as any amendments to the aforementioned, issued by Insight Selection (and/or other relevant members of the Insight Selection Group (as defined in Clause 1 below)) and posted in this Website, from time to time. If any Visitor does not accept these Terms of Use (and such guidelines, notices, operating rules, policies and instructions), the Visitor must stop accessing and using this Website.
Insight Selection (and/or other relevant members of the Insight Selection Group (as defined in Clause 1 below), as the case may be) may amend or update these Terms of Use (and other guidelines, notices, operating rules, policies and instructions) at any time and Insight Selection may post the amended or updated version thereof on this Website. Such amended or updated version shall automatically be effective upon its posting on this Website and Visitors are deemed to be aware of and bound by any changes to these Terms of Use upon posting on this Website. The right of Insight Selection (and/or other relevant members of the Insight Selection Group (as defined in Clause 1 below), as the case may be) to amend or update these Terms of Use (and such guidelines, notices, operating rules, policies and instructions) in the manner aforesaid may be exercised without the consent of the Visitor or any other person or entity. If any Visitor does not accept any such amendments or updates, the Visitor must stop accessing and using this Website.
1. Definitions and interpretation
a. Definitions: In these Terms of Use, the following words and expressions shall, unless the context otherwise requires, have the following respective meanings:-
"Affected Provision"
shall have the meaning ascribed thereto in Clause 19 below.
"Force Majeure Event"
in relation to a person or entity, shall mean an event or a failure which is beyond that person's or entity's reasonable control, including but not limited to: acts of God; fire; flood; explosion; storm; hurricane; typhoon; tsunami; earthquake; natural or other disasters; vandalism; power surge or outage; cable cut; disruptions or failures in telecommunication systems or equipment or electrical power or supply; server crashes; back-up failures; disruptions to or failure of Internet access or connectivity; serious accidents; disease outbreaks, epidemics or quarantine or travel restrictions; any law, order, regulation, direction, action or request of any government (including state and local governments) or any civil or military authority, or of any dependent agency, commission, court, bureau, corporation or other instrumentality thereof; allocation regulations or orders affecting materials and/or the supply thereof; national emergencies, insurrections, riots, civil commotion, war or warlike operations; acts of terrorism; strikes, lockouts, work stoppages or labour disputes, troubles or difficulties; delays in transportation; supplier failures, shortages, breaches or delays; or inability after due and timely diligence to procure materials, accessories, equipment or parts.
"Insight Selection Content"
shall mean this Website, and all content, information, applications, programmes, texts, images, links, sounds, graphics, videos, software and other materials displayed or made available on this Website, and all files within and attachments transmitted through this Website and all data within such files and attachments, but excluding Third Party Content.
"Insight Selection Group"
shall mean Insight Selection Ltd., a Bermuda corporation, and its subsidiaries (including Insight Selection) from time to time.
"Insight Selection Indemnitees"
shall mean Insight Selection and other members of the Insight Selection Group, and any directors, officers, employees, representatives, agents, service providers and/or assigns thereof.
"Intellectual Property Rights"
shall mean all copyright, patents, utility innovations, trade marks and service marks, geographical indications, domain names, layout design rights, registered designs, design rights, database rights, trade or business names, rights protecting trade secrets and confidential information, rights protecting goodwill and reputation, and all other similar or corresponding proprietary rights and all applications for the same, whether presently existing or created in the future, anywhere in the world, whether registered or not, and all benefits, privileges, rights to sue, recover damages and obtain relief or other remedies for any past, current or future infringement, misappropriation or violation of any of the foregoing rights.
"Liabilities"
shall mean claims, demands, damages, losses, liabilities, settlement sums, suits, actions, proceedings, judgments, fines, penalties, charges, costs and expenses (including but not limited to legal costs and expenses on a full indemnity basis.
"Overall Content"
shall mean the Insight Selection Content and the Third Party Content, collectively.
"Password"
shall refer to the valid password that is used in conjunction with the Username to access and use password-protected and/or secure areas of this Website that are restricted to authorised users only.
"Insight Selection"
shall have the meaning ascribed thereto in the first paragraph of the opening section above.
"Relevant Activity"
in relation to any product appearing in this Website and/or any of the Overall Content, shall mean any one or more of the following (as the context requires): the import, export, storage, transportation, transit, customs clearance, delivery, use, advertising, display, reproduction, offer, sale, supply, purchase, provision or re-sale of such product or any transaction, activity or dealing in respect of any such product.
"Specific Services"
shall mean those services, provided by relevant members of the Insight Selection Group in or through this Website.
"Specific Terms"
shall mean the respective terms and conditions applicable to Specific Services, including those prescribed or imposed by relevant members of the Insight Selection Group in relation to such Specific Services, or those contained in respective agreements entered into between Visitors and relevant members of the Insight Selection Group in relation to such Specific Services.
"Terms of Use"
shall have the meaning ascribed thereto in the second paragraph of the opening section above.
"Third Party Content"
shall mean those content, information, applications, programmes, texts, images, links, sounds, graphics, videos, software and other materials displayed in or made available in or through, included in, posted through, or linked through, this Website (including all files within and attachments transmitted through this Website and all data within such files and attachments), which are submitted by, originate from, are provided by, are obtained from or pertain to third party websites or other third parties, and in or to which the Intellectual Property Rights are not owned by members of the Insight Selection Group.
"Third Party Licensors"
shall mean the respective owners (not being members of the Insight Selection Group) of the titles, rights and interests in or to the Third Party Content.
"Trade Marks"
shall have the meaning ascribed thereto in Clause 3 below.
"Username"
shall refer to the unique login identification name or code which identifies a Visitor who registers with this Website.
"Visitor"
shall mean the individual or entity who, or the individual or entity whose agent or representative, accesses and/or uses this Website, or the services, features and functionalities provided in or through this Website, or any of the Overall Content.
"Website"
shall mean the website on the Internet owned and/or operated by Insight Selection and the homepage of which is presently located at www.insightselection.com.
b. Interpretation: Any reference in these Terms of Use to any provision of a statute shall be construed as a reference to that provision as amended, re-enacted or extended at the relevant time. Any references herein to “Clauses” are references to the clauses of these Terms of Use. In these Terms of Use, whenever the words “include”, “includes” or “including” are used, they will be deemed to be followed by the words “without limitation”. Clause headings are inserted for convenience only and shall not affect the interpretation of these Terms of Use.
2. Application of other terms and conditions
These Terms of Use shall apply to each Specific Service, in addition to any and all other Specific Terms applicable to such Specific Service; provided however that:-
a. in the event of any conflict or inconsistency between any provision of the Specific Terms and any provision of these Terms of Use, such conflict or inconsistency shall (except as otherwise expressly provided or agreed) be resolved in a manner favourable to Insight Selection and/or other relevant members of the Insight Selection Group; and
b. only to the extent that such conflict or inconsistency cannot be so resolved, the provisions of the Specific Terms shall prevail.
3. Ownership of Intellectual Property Rights
Unless otherwise expressly stated:-
a. all titles, rights and interests (including without limitation Intellectual Property Rights) in respect of the Insight Selection Content are owned by, licensed to or controlled by Insight Selection and/or other relevant members of the Insight Selection Group, and nothing herein confers on Visitors any title, right or interest in respect thereof; and
b. all titles, rights and interests (including without limitation Intellectual Property Rights) in respect of the Third Party Content are owned by, licensed to or controlled by the relevant Third Party Licensors, and nothing herein confers on Visitors any title, right or interest in respect thereof.
The trade marks, service marks, trade names and logos used and displayed on this Website (collectively the "Trade Marks") are registered and unregistered trade marks of Insight Selection and/or other relevant members of the Insight Selection Group and/or other third parties. No right or licence is given to Visitors to download, reproduce or use such Trade Marks. Nothing on this Website shall be construed as granting, by implication, estoppel, or otherwise, any licence or right to use any Trade Marks, without the written permission of Insight Selection and/or other relevant members of the Insight Selection Group and/or other third parties. The names of Insight Selection and/or other relevant members of the Insight Selection Group may not be used in any way without the prior written permission of Insight Selection and/or other relevant members of the Insight Selection Group. Any other names of third party companies, products, programmes, applications, systems and solutions mentioned or referred to in this Website are or may be the trade marks of the respective owners/licensors or licensees, and in such cases, Insight Selection and/or other relevant members of the Insight Selection Group are not and should not be deemed to be connected or associated or affiliated in any way with such other owners/licensors or licensees.
4. Restricted use of Overall Content
Visitors may use, download, reproduce and/or distribute internally non-substantial portions of the Insight Selection Content, on an occasional ad-hoc basis, solely and exclusively for personal or internal and non-commercial purposes, PROVIDED HOWEVER THAT:-
a. such use, downloading, reproduction and/or distribution of such Insight Selection Content (either in hard copy or electronic form) is not done in any manner which might be competitive with or prejudicial to Insight Selection and/or other relevant members of the Insight Selection Group and/or their businesses, and/or their use, downloading, reproduction and/or distribution of such Insight Selection Content or other content similar thereto;
b. such Insight Selection Content is used, downloaded, reproduced and/or distributed, without modification, and with retention or inclusion of the appropriate notices, including copyright notices and other applicable proprietary notices, indicating Insight Selection (and/or other relevant members of the Insight Selection Group, as the case may be) as the source of such Insight Selection Content and prohibiting any further use, downloading, reproduction and/or distribution of such Insight Selection Content; and
c. such use, downloading, reproduction and/or distribution of any Insight Selection Content do not and shall not be deemed to transfer any title, right or interest in or to such Insight Selection Content, and such Insight Selection Content may be used, downloaded, reproduced and/or distributed only in accordance with Clauses 3, 4 and 5.
d. Except as expressly permitted in this Clause 4, Visitors may not use, download, copy, reproduce, modify, alter, reverse engineer, decompile, disassemble, separate, sell, transfer, rent, license, publish, republish, display, broadcast, hyperlink, mirror, frame, transmit, store, install, distribute, disseminate in any form or in any manner or by any means, or otherwise allow access to or in any other fashion re-use, all or any part or parts of this Website, the Insight Selection Content and/or the Third Party Content, without the prior written permission of Insight Selection and/or other relevant members of the Insight Selection Group and/or the relevant third party owners/licensors or licensees of the relevant Intellectual Property Rights, as the case may be.
5. Protection of Intellectual Property Rights
Visitors acknowledge that this Website and the Insight Selection Content (or the Third Party Content, as the case may be) were prepared by Insight Selection and/or other relevant members of the Insight Selection Group (or the Third Party Licensors, as the case may be) through the application of methods and standards of judgment developed and applied through the expenditure of substantial time, effort and money.
Visitors agree to protect all rights and interests (including without limitation Intellectual Property Rights) of Insight Selection and/or other relevant members of the Insight Selection Group (or the Third Party Licensors, as the case may be) in or to this Website and the Insight Selection Content (or the Third Party Content, as the case may be).
In addition, Visitors shall honour and comply with reasonable written requests made by Insight Selection and/or other relevant members of the Insight Selection Group (or, as the case may be, the Third Party Licensors) in connection with the protection, enforcement or exercise of Insight Selection’s and/or other relevant members’ of the Insight Selection Group (or, as the case may be, the Third Party Licensors') contractual and other legal (whether statutory or common law) or equitable rights and remedies in respect of this Website and the Insight Selection Content (or the Third Party Content, as the case may be).
6. Updates
All updates to or addition of Insight Selection Content and Third Party Content, and all new versions of this Website shall be subject to these Terms of Use as if each such update, addition and/or new version were the original Insight Selection Content, Third Party Content or Website (as the case may be) referred to herein.
7. Modifications
Insight Selection and/or other relevant members of the Insight Selection Group reserve the right to control the look and feel of this Website and shall be entitled to publish any notices or disclaimers on this Website in the manner and to the extent deemed necessary by Insight Selection and/or other relevant members of the Insight Selection Group at their sole discretion.
Insight Selection and/or other relevant members of the Insight Selection Group reserve the right to update, suspend, discontinue, alter or modify this Website or any information, data, instructions, functionalities, features, services, products or other content provided in or through this Website, including portions thereof, from time to time and without giving any reason or prior notice. Such updates, suspensions, discontinuations, alterations or modifications may include, without limitation, changes to, additions of or withdrawals of information, data, instructions, functionalities, features, services, products or other content. Insight Selection and/or other relevant members of the Insight Selection Group shall not be liable if any such updates, suspensions, discontinuations, alterations or modifications prevent or disrupt Visitors from accessing this Website or associated information, data, instructions, functionalities, features, services, products or other content.
Insight Selection and/or other relevant members of the Insight Selection Group reserve the right (but shall not be obliged) to:
a. monitor, screen or otherwise control any activity, content or material on or accessible through this Website, or investigate any violation of these Terms of Use and take any action they deem appropriate;
b. prevent, suspend or restrict any Visitor’s access to (i) any password-protected or secure areas of this Website and/or (ii) any particular service, functionality or feature provided in or through this Website; and/or
c. report any activity it suspects to be in violation of any applicable law, statute or regulation to the appropriate authorities and to co-operate with such authorities.
8. No endorsement of third parties
a. Without prejudice to Clause 9, Insight Selection and/or other relevant members of the Insight Selection Group do not endorse or make any representation or warranty whatsoever (whether express, implied or statutory), and shall not be responsible or liable under any circumstances whatsoever, in respect of:-
i. any third party website hyperlinked to this Website, or any information, data, instructions, functionalities, features, services, products or other content offered or provided in or through such third party website;
ii. any third party website hyperlinked to this Website, or any information, data, instructions, functionalities, features, services, products or other content offered or provided in or through such third party website;
iii. (without prejudice to the generality of the foregoing) any Third Party Content.
Such third party websites, third party information, data, instructions, functionalities, features, services, products or other content (whether provided or offered in or through such third party websites or in or through this Website) and Third Party Content are the sole responsibility of independent third parties and are not under the control of Insight Selection and/or other relevant members of the Insight Selection Group, and as against Insight Selection and/or other relevant members of the Insight Selection Group, Visitors’ access and/or use thereof and/or reliance thereon is solely at such Visitors’ own risk (and Visitors are advised not to act and/or rely thereon without first independently verifying the same).
Visitors’ rights and remedies in respect thereof are governed solely by other applicable agreements or terms (if any) between the relevant Visitor and the relevant third party. For the avoidance of doubt, the agreements or terms pertaining to the foregoing are agreements or terms entered into directly and only between the relevant Visitor and the relevant third party. In no event shall the Insight Selection Group establish or be required to establish any such agreement or terms with such Visitor.

i. a description or reference to a product or service in this Website (including any description or reference via hyperlink) does not imply endorsement by Insight Selection and/or other relevant members of the Insight Selection Group of that product or service;
ii. Insight Selection and/or other relevant members of the Insight Selection Group do not make any representation or warranty as to the quality, accuracy, reliability, currency, suitability or lack of defects or deficiencies of any third party websites, third party information, data, instructions, functionalities, features, services, products or other content (whether provided or offered in or through such third party websites or in or through this Website) and Third Party Content;
iii. e. any defect, deficiency, breakdown or failure of any software or any equipment or system (whether or not maintained or operated by the Insight Selection Group or any other person), or any system, server or connection failure, error, omission, interruption, delay in transmission, computer virus or other malicious, destructive or corrupting code, agent, program or macros, howsoever caused or arising;
f. any loss, corruption, deletion or damage of or to any Overall Content (whether belonging to, provided by or stored by the Visitor or otherwise) which is transmitted to or stored in any system or equipment (whether or not maintained or operated by the Insight Selection Group, the Visitor or other third parties), howsoever caused or arising;
g. any error, interruption, breach or failure or delay in performance of its obligations under these Terms of Use or in this Website’s operation, or for any inaccuracy, unreliability or unsuitability of this Website or any of the Overall Content, which is due, in whole or in part, directly or indirectly to a Force Majeure Event; and
h. any defects, deficiencies, errors, omissions or inaccuracies in this Website, any of the Overall Content or any of the third party websites, third party information, data, instructions, functionalities, features, services, products or other content (whether provided or offered in or through such third party websites or in or through this Website).
11. Limitation of liability
Notwithstanding any other provision of these Terms of Use, the maximum cumulative liability of all of Insight Selection and/or other relevant members of the Insight Selection Group and their licensors, dealers, distributors, representatives, agents, directors, officers or employees, or third parties (if any) involved in the creation, production or delivery of this Website or any of the Overall Content, in respect of all Liabilities under, arising out of or in connection with these Terms of Use and the provision of this Website and the Overall Content, shall in no event exceed in the aggregate the sum of one United States Dollar (US$1.00) only, whether in contract, tort (including negligence or breach of statutory duty) or otherwise, or for any loss, damage or liability whatsoever.
12. Infringement of rights and/or violation of laws or regulations
a. Each Visitor agrees and undertakes that the Visitor shall not use this Website or any of the Overall Content in any manner that infringes or violates, or might potentially infringe or violate, any rights and interests (including without limitation Intellectual Property Rights) of any person or entity, or any applicable law or regulation.
Without limitation to the generality of the foregoing, each Visitor agrees and undertakes that the Visitor shall not use this Website or any of the Overall Content to acquire or seek to acquire any product or undertake or seek to undertake any activity, or to send any inquiries to, to communicate with, or to otherwise contact, any person or entity with a view to or in connection with acquiring any product or undertaking any transaction or activity, that would or might actually or potentially infringe or violate, or involve any actual or potential infringement or violation of, any rights and interests (including without limitation Intellectual Property Rights) of any person or entity, or any applicable law or regulation.
b. Without prejudice to Clause 13, each Visitor who acquires or wishes to acquire any product from, or who enters or wishes to enter into any transaction or activity with, or who sends or wishes to send any inquiry to, communicates or wishes to communicate with or otherwise contacts or wishes to contact, or who receives or wishes to receive any communication from, any person or entity, or who undertakes or wishes to undertake any Relevant Activity in relation to any product appearing in this Websites or any of the Overall Content, whether directly or indirectly as a result of or in connection with the use of this Website and/or any of the Overall Content shall:-
1. bear solely and exclusively all responsibility and risks for such product, acquisition, transaction, activity, inquiry, communication, contact or Relevant Activity, and for verifying and/or ensuring that the same do not and will not infringe or violate any rights and interests (including without limitation Intellectual Property Rights) of any person or entity, or any applicable law or regulation (and none of the members of the Insight Selection Group makes any representation or warranty whatsoever (whether express, implied or statutory) that the same do not and will not infringe or violate any rights and interests (including without limitation Intellectual Property Rights) of any person or entity, or any applicable law or regulation); and
2. fully indemnify, defend and/or hold harmless, as the case may be, the Insight Selection Indemnitees in respect of any and all Liabilities that may be suffered, sustained or incurred, directly or indirectly, by any of the Insight Selection Indemnitees, as a result of, or arising from or in connection with, any such product, acquisition, transaction, activity, inquiry, communication, contact or Relevant Activity infringing or violating (or being alleged to infringe or violate) the rights and interests (including without limitation Intellectual Property Rights) of any person or entity, or any applicable law or regulation (and none of the Insight Selection Indemnitees assumes or shall bear any liability, obligation, responsibility or risk whatsoever for or in respect of any such product, acquisition, transaction, activity, inquiry, communication, contact or Relevant Activity).
c. Without prejudice to the generality of the foregoing provisions of Clause 12.b, each Visitor who acquires or wishes to acquire any product appearing in this Website is advised to conduct, and shall in any event be solely and exclusively responsible for conducting, its own due diligence enquiries, checks and investigations, including (without limitation) consulting the relevant government or regulatory authorities, and seeking its own independent legal advice, as may be necessary and appropriate, so as to satisfy itself and ensure that such product and the Relevant Activities in relation to such product do not and will not infringe any rights and interests (including without limitation Intellectual Property Rights) of any person or entity and are and will be in compliance with all applicable laws and regulations.

Visitors shall indemnify the Insight Selection Indemnitees against any Liabilities that may be suffered, sustained or incurred, directly or indirectly, by the Insight Selection Indemnitees as a result of, or arising from or in connection with:-

Visitors agree that the Insight Selection Group may, at its sole discretion, deny or suspend such Visitors’ access to password-protected or secure areas of this Website, or any of the services, features or functionalities provided in or through this Website, for any reason, including without limitation, if the Insight Selection Group believes that such Visitors have violated or acted inconsistently with any terms or conditions set out herein, or if in the Insight Selection Group’s opinion, it is not suitable to continue providing such areas, services, features or functionalities.
16. Delegation
Insight Selection and/or other relevant members of the Insight Selection Group may delegate or outsource the performance of any of their functions in connection with this Website and reserve the right to use any agents, delegates or contractors on such terms as they deem appropriate.

These Terms of Use, together with any other Specific Terms relating to Specific Services (if applicable), constitute the entire agreement between the Visitor and Insight Selection and/or other relevant members of the Insight Selection Group with respect to the subject matter hereof and thereof, and supersede any and all prior written and/or oral representations, understandings, agreements or communications between such parties regarding the subject matter hereof and thereof.
18. Waivers
Failure or delay of either party to insist at any time upon strict compliance with any provision herein, to exercise any right or remedy contained in these Terms of Use or to seek remedy of any breach shall not constitute or be construed as a waiver of such provision or breach, or of any other rights or remedies, or a bar to the exercise or enforcement at any subsequent time or times.
No waiver of any right under or any provision of these Terms of Use shall be valid or effective unless in writing signed by the party granting such waiver.
Any waiver of any right under or any provision of these Terms of Use shall not be deemed to be a waiver of any other right(s) under or any other provision(s) of these Terms of Use or of the same right or provision on another occasion.
19. Illegality
If any provision of these Terms of Use is or becomes illegal, invalid or unenforceable ("Affected Provision"), then, to the maximum extent possible, such Affected Provision shall be modified and/or replaced by an equivalent legal, valid and enforceable provision in a manner which accords with or which gives effect to, as closely as possible, the original intent of the Affected Provision. Nothing contained in these Terms of Use shall constitute or be construed as creating any fiduciary, partnership, joint venture, agency or sales representative relationship between the Visitors and the Insight Selection Group, and neither of the Visitors nor the Insight Selection Group shall have any right whatsoever to incur any obligations or liabilities on behalf of or binding on the other party.
21. Rights of third parties
Save for other relevant members of the Insight Selection Group, a person or entity who is not a party to these Terms of Use shall have no right to enforce any term of these Terms of Use, regardless of whether such person or entity has been identified by name, as a member of a class or as answering a particular description. For the avoidance of doubt, nothing in this Clause 21 shall affect the rights of any permitted assignee or transferee of these Terms of Use.
22. Governing Law & Jurisdiction
These Terms of Use shall be construed in accordance with and governed by the laws of the Hong Kong Special Administrative Region. The Visitor hereby submits to the non-exclusive jurisdiction of the courts of the Hong Kong Special Administrative Region and/or such other courts of competent jurisdiction as Insight Selection and/or other relevant members of the Insight Selection Group may in its absolute discretion deem fit.

Access to and use of the www.insightselection.com ("Site") / Insight Selection App ("App") and related services (collectively, the "Services") are made available to you in accordance with the following Terms of Service and any other rules and policies posted on the Site / App, including the Privacy Policy (collectively, the "Terms of Service" or "T&Cs").
By using the Site / App, you agree to be bound by these terms and conditions ("T&Cs") and the documents referred to within them. We reserve the right to modify these T&Cs at any time.
References to "Insight Selection", "we", "us" are references to Insight Selection Limited, or another company within Insight Selection group (where applicable).
We will collect, use, store and disclose any personal data provided by you in accordance with Insight Selection Privacy Policy.
These T&Cs do not acknowledge any relationship between you and Insight Selection (partnership, collaboration, employment, or otherwise). It does not entitle you to hold yourself as a representative of Insight Selection.
In order to place orders with us, you must meet our conditions of eligibility:

· Be in possession of a valid credit/debit card and/or in possession of a valid bank account issued by/maintained with a licensed bank or financial institution acceptable to Insight Selection for payment;
· Providing personal and payment details that are warranted by you to be both valid and accurate (email address, real name, phone number, billing information and other requested information as indicated on the Site / App).
In placing an order with us, you authorize Insight Selection to process a charge or charges on your credit/debit card account/bank account in the amount of the total purchase price of your order. You also expressly authorise us to use personal information provided by you to perform appropriate anti-fraud checks such as credit checks and also to, where necessary, transmit or obtain information about you to or from third parties including, but not limited to, credit reference or fraud-prevention agencies, which may keep a record of that information. PRODUCT DESCRIPTION AND AVAILABILITY
The images, specifications, descriptions and standards of all products are provided by the suppliers. We will take all reasonable care to ensure that all details, descriptions and prices of products on the Site / App are accurate and kept up to date. We do not guarantee that the product images and other details you see are an accurate representation; for example, colors of the actual product may differ from the images shown on the Site / App.
The price of products shown on the Site / App is set by the suppliers. However, errors may sometimes occur in the pricing. If we are notified by the supplier that there is an error in the price of a product you have ordered, we will contact you accordingly. You will have the option to reconfirm your order at the correct price, or the order will be cancelled. Prices may change and offers may be withdrawn at any time.
All orders are subject to stock availability and confirmation of the order price by the suppliers. Items in your order are not reserved and may be purchased by other buyers. Once a product is sold out, it may still be listed on the Site / App.
PRICE
Prices are shown on the Site / App in US Dollars (USD).
If your credit/debit card/bank account is not denominated in US Dollars (USD), the final price charged in your currency will be calculated by your card issuer or bank in accordance with the applicable exchange rate on the day your card issuer or bank processes the transaction.
Taxes and duties applicable to your order depend on the shipping country of your order. Customers placing orders from countries served on a Delivery Duty Unpaid (DDU) basis will only be charged for the price of the product(s) purchased (excluding taxes and duties) and the delivery costs. Customers will be responsible for the payment of all import tax and duties levied by the country to which the products are shipped and payment of the said tax and duties is necessary for the release of the products ordered from the Customs on arrival. We advise you to contact your local customs authority to determine the cost of import tax and duties of your order prior to your placing orders with us.
PAYMENT
You shall make payment to the suppliers directly via PayPal and/or Ping Pong (if applicable) in US Dollars.
We will not keep the details of any credit/debit cards/bank account used for the payment and we will not be liable to you for any losses caused as a result of any unauthorized access to your data by a third party.
DELIVERY
Deliveries will be carried out by the suppliers themselves or third-party couriers as instructed by the suppliers. We endeavour to ensure that the suppliers will dispatch all products ordered within 14 working days after the order has been placed and accepted by us. Upon the supplier's request for an extension of handling period, and with the consent of Buyers and Insight Selection, the products ordered may take up to 27 working days at most for dispatch.
It is your responsibility to comply with all requirements imposed by local Customs authorities in relation to your order (including requirements regarding the provision of identification information in order to receive your order). We recommend that you make yourself aware of local import duties and any other requirements before placing your order.
RETURN AND REFUND POLICY
To be eligible for a refund, the following conditions must be met:
1. Cancellation Before Shipment
If you decide to cancel an order after placing it with the supplier but before the purchased products are shipped to you, you can request a refund directly from the supplier through the platform of the Site/App.
2. Post-Shipment Refund Conditions
If the purchased products have already been marked as “shipped” on the platform of the Site/App:
i.Non-receipt of purchased product
You have not received the product that you purchased and paid for.
ii.Unauthorized purchase transaction
In cases where you did not authorize a purchase transaction, and upon verification by Insight Selection, a billing error occurred.
iii.Receipt of an incorrect product
If the product you received does not match the description of the product you purchased, it must be unused and in the same condition as when you received it. In such instances, the product should be returned to the suppliers within the specified refund timeframe subsequently agreed between the suppliers and the buyers. Buyers are responsible for sending the product back to the address designated by the suppliers.
Processing Time
If the product purchased meets the eligibility criteria mentioned in this Return and Refund Policy section, the refund request will be handled in accordance with the following scenarios.
iii.Refund request accepted by the supplier
If the refund request accepted by the Supplier, the Supplier will promptly process the refund and you will receive a full refund to your original payment method within 30 days.
iv.No response received from the Suppliers regarding the refund request
In the cases that the supplier does not provide any response to the refund request to Insight Selection and/or Buyers, we will take the necessary steps to process the refund and you will receive a full refund to your original payment method within 30 days.
v.Refund request rejected by the supplier
In the cases that the supplier does not accept the buyer’s refund request, the buyer has the option to initiate a refund request via Pay Pal in accordance with all applicable terms and conditions.
GENERAL TERMS
Third Party Links
The Site / App may include links to other websites or resources that are not operated or prepared by Insight Selection. We have no control over such sites and resources, and we will not accept responsibility for them or be liable for any loss or damage caused or alleged to be caused by or in connection with your use of them.
Insight Selection is not responsible for the content or accuracy of any off-Site pages, which include but is not limited to advertisers of the Site / App. Use of these external websites or resources will be at your own risk and subject to the terms of use and service contained within each of such sites.
Liability
You agree to indemnify us and our agents and officers, directors and employees, immediately on demand, against all claims, liability, damages, costs and expenses, including reasonable legal fees, arising out of any breach of these T&Cs by you or by any other person accessing the Site / App using your account and/or your personal information.
Other than as provided in these T&Cs, Insight Selection makes no other warranties, express or implied, and hereby disclaims all implied warranties, including any warranty of merchantability and warranty of fitness for a particular purpose. To the fullest extent permissible under applicable law, we disclaim any and all warranties of any kind, whether express or implied, in relation to the products and services offered by Insight Selection and/or the suppliers.
We will not be liable, in contract, tort (including, without limitation, negligence), pre-contract or other representations (other than fraudulent or negligent misrepresentations) or otherwise out of or in connection with the T&Cs for (i) any economic losses (including without limitation loss of revenues, profits, contracts, business or anticipated savings); or (ii) any loss of goodwill or reputation; or (iii) any special or indirect losses, suffered or incurred by that party arising out of or in connection with the provisions of any matter under these T&Cs. Nothing in these T&Cs shall exclude or limit our liability for death or personal injury resulting from our negligence or that of our agents or employees.
Waiver
No waiver by us shall be construed as a waiver of any right for any breach of these T&Cs.
Severance
If any of these T&Cs shall be deemed unlawful, void or for any reason unenforceable, then that provision shall be deemed to be severable and shall not affect the validity and enforceability of any of the remaining T&Cs.

· To facilitate review of visitor details for qualification purposes by Advertisers and Exhibitors who have received Requests for Information or similar from visitors to our Online site or Tradeshows, through our Messaging Service and to facilitate communications between parties by email/phone/chat in relation to such requests .
· Our Customer Services team may use your personal data when responding to your comments, feedback, inquiries, questions, to give you appropriate support to fulfil your needs and requests

How Long Do We Keep Your Personal Data?

Intellectual Property Rights Protection Policy and Alleged Infringements
1.1
This document outlines Insight Selection’ policy (“Policy”) for dealing with notifications of alleged infringements of intellectual property rights (“IPR”), in relation to materials available on Insight Selection’ websites or servers (each such alleged infringement, an “Alleged Infringement”), by visitors and users of this website (“Users”).
For the purposes of this Policy, “Insight Selection” means the publisher and operator of this website, Insight Selection Group Limited (a company incorporated in the Hong Kong Special Administrative Region) and its parents, subsidiaries, related corporations and affiliates, collectively.

Our Handling of Alleged Infringement
2.1
An IPR owner or the agent thereof (the “Complainant”) may (and shall, if requested by Insight Selection) complete and sign the IP Complaint Notice in the form attached in Schedule 2 to notify Insight Selection of the Alleged Infringement (the “IP Complaint Notice”).
2.2
Insight Selection shall deal with the IP Complaint Notice in accordance with the procedures as set out in Schedule 1 hereto (the "Procedures").
2.3
Insight Selection reserves the right to amend the Procedures from time to time.
2.4
Insight Selection reserves the right not to take any further action in respect of the Alleged Infringement if the IP Complaint Notice as prescribed in Schedule 2 is not submitted, is insufficient or is incomplete, and/or the Relevant Information (as defined in Clause 3.1 below) is not provided as required or is insufficient or is incomplete, and/or any of the Procedures stipulated in Schedule 1 are not complied with by the Complainant.

Relevant Information
3.1
The Complainant shall provide Insight Selection with all the necessary documentation and other relevant information in respect of the Alleged Infringement (the “Relevant Information”), including, inter alia:
3.1.1
Evidence of the Complainant's ownership of the IPR which is being relied upon and alleged to have been infringed:
a. In the case of copyright, this would include (where applicable): registration certificates, and evidence of the original creation, initial publication and the Complainant's ownership of the copyright concerned.
b. In the case of trademark rights, this would include (where applicable): the certificate of trademark registration and other relevant documents issued by the applicable authorities in the Relevant Territory (as defined in Clause 4 below) relating to the trademark rights concerned.
c. In the case of patent rights, this would include (where applicable): the certificate of patent grant (complete with all relevant claims, specifications and drawings), and other relevant reports, issued by the applicable authorities in the Relevant Territory (as defined in Clause 4 below) relating to the patent rights concerned.
d. In the case of registered design rights, this would include (where applicable): certificate of registration of design issued by the applicable authorities in the Relevant Territory (as defined in Clause 4 below) relating to the registered design rights concerned.
e. Any other evidence that Insight Selection may require depending on the specific facts and circumstances of the case. For the avoidance of doubt, Insight Selection shall have the sole and absolute discretion to determine what shall constitute appropriate evidence of the Complainant's ownership of the IPR concerned.
3.1.2
Certificate of due incorporation or registration of the Complainant company (where applicable).
3.1.3
Evidence of the infringement complained of in the IP Complaint Notice including, but not limited to, website locations/links, photographs, samples, brochures, sales contracts and invoices relating to the allegedly infringing material or activity concerned.
3.1.4
Any final court or arbitration judgment, order, decision or award against or any binding settlement with the alleged infringer (“Alleged Infringer”) in relation to the subject matter complained of, and/or (if applicable and available) any other legally valid and binding evidence, in each case either originating from or legally recognised in the Relevant Territory (as defined in Clause 4 below), evidencing that the relevant material or activities concerned have infringed the Complainant's IPR.
3.1.5
Such other relevant documents and information as Insight Selection may require.

Relevant Territory
4.1
For the purpose of this Policy, "Relevant Territory" shall mean the country / region where (i) the Alleged Infringement takes place or is likely to take place; (ii) the allegedly infringing products are manufactured; or (iii) the allegedly infringing products are advertised, offered or sold.

Indemnity
5.1
Insight Selection does not have the power or duty to verify the identities of each individual Complainant submitting an IP Complaint Notice, the subject matter complained of or the source of the allegedly infringing material.
5.2
By submitting an IP Complaint Notice and asking Insight Selection to take action in accordance with this Policy in respect of the Alleged Infringement, each individual Complainant submitting the IP Complaint Notice agrees:
5.2.1
to hold harmless, defend and fully indemnify Insight Selection and its agents, representatives, contractors, directors, officers and employees (as well as their legal and other advisors and consultants) (collectively, the “Insight Selection Indemnitees”) from and against any and all claims, liabilities, losses, damages, suits, actions, proceedings, judgments, fines, penalties, costs and expenses (including legal fees and expenses), of any nature whatsoever, incurred or suffered by any of them however arising from or in connection with any action that the Insight Selection Indemnitees may take pursuant to the IP Complaint Notice;
5.2.2
that such individual Complainant submitting the IP Complaint Notice will not take any legal action and/or make any claim against any of the Insight Selection Indemnitees in respect of any matters related to the IP Complaint Notice;
5.2.3
that the IP Complaint Notice and all the supporting documents may be disclosed to the parties complained of and acknowledge that such individual Complainant submitting the IP Complaint Notice has read, understood, accepted and agreed to Insight Selection’ Privacy Policy relating to this website (which is accessible through the “Privacy Policy” link in the footer of this website) and where appropriate, has referred or will direct relevant third parties to such Privacy Policy; and
5.2.4
that the IP Complaint Notice and any or all of the Relevant Information and other supporting documents and information provided (or any portions or extracts thereof) may be reproduced, used, disclosed and/or published by Insight Selection in the manner and to the extent deemed necessary or appropriate by Insight Selection. Specifically (but without prejudice to the generality of the foregoing), Insight Selection reserves the right to disclose any information contained in the IP Complaint Notice, or any Relevant Information or other supporting documents and information provided, in circumstances where Insight Selection believes that disclosure is required under any law or regulation, or to cooperate with regulators or law enforcement authorities, or to protect or enforce Insight Selection’ rights and/or interests.

To report an Intellectual Property (IP) infringement, kindly read the following INSIGHT SELECTION INTELLECTUAL PROPERTY RIGHTS PROTECTION POLICY and complete and sign the relevant form.
SCHEDULE 1
PROCEDURES
This Schedule 1 is applicable to all Complainants.
Notification of an Alleged Infringement

Those wishing to notify Insight Selection of an Alleged Infringement shall complete the IP Complaint Notice in the form as attached in Schedule 2 and send it (together with the Relevant Information) to Insight Selection’ designated representative, whose details are as follows:

Complainants should particularise the Alleged Infringement in as much detail as possible in order to help Insight Selection to evaluate the IP Complaint Notice as effectively as possible.

If the Complainant is an agent or a parent, subsidiary, related corporation or affiliate of the owner of the IPR with which the Alleged Infringement is concerned, such Complainant must provide a certified copy of a power of attorney executed by the said owner of the IPR (or such other evidence of the Complainant’s authority as may be deemed satisfactory by Insight Selection), in addition to the Relevant Information.
Investigations in respect of the Alleged Infringement

If the Complainant refuses or fails to satisfactorily complete and sign the IP Complaint Notice, or if, in Global Source's sole and absolute opinion, any of the Relevant Information provided to Insight Selection is or appears to be incorrect, incomplete, invalid, inapplicable, unsatisfactory or insufficient, Insight Selection reserves the right to refuse to handle the Alleged Infringement unless and until the IP Complaint Notice has been satisfactorily completed and signed and all further clarification, details, information or documents requested by Insight Selection are provided to Insight Selection by the Complainant.

Insight Selection shall conduct investigations in relation to the Alleged Infringement to ascertain the merits of the IP Complaint Notice based upon the Relevant Information provided by the Complainant.

Upon receipt of the IP Complaint Notice, Insight Selection will evaluate the IP Complaint Notice.

Upon the provision of the IP Complaint Notice, the Relevant Information and all other information and documents which Insight Selection may require for the evaluation of the Alleged Infringement to Insight Selection, Insight Selection shall serve the IP Complaint Notice to the Alleged Infringer.

The Alleged Infringer will be given three full working days to rebut the claims of the Alleged Infringement in writing to Insight Selection’ designated representative (whose details are set out in Section 1 of this Schedule 1 above).

If, in Insight Selection’ sole and absolute opinion, the basis, grounds or merits of the IP Complaint Notice have not been satisfactorily established, and/or the Alleged Infringer’s rebuttal of the claims of the Alleged Infringement do not appear to be unfounded or groundless, then Insight Selection reserves the right not to take any further action in respect of the complaint.
Action by Insight Selection

Should the Alleged Infringer fail to respond satisfactorily and rebut the claims of the Alleged Infringement within three working days, Insight Selection shall remove the alleged infringing material referred to in the IP Complaint Notice.

Notwithstanding Section 9 of this Schedule 1 above, Insight Selection may take any such action as it deems necessary, including inter alia removing any material relating to the Alleged Infringement from this website as it deems appropriate.

Insight Selection reserves the right to terminate its relationship with any Alleged Infringer who is the subject of an IP Complaint Notice, regardless of the outcome of such IP Complaint Notice.
Appeals following action by Insight Selection

Where the Alleged Infringer rebuts the claims in the IP Complaint Notice, and provides appropriate grounds (with supporting evidence) for rejecting the claims contained in the Alleged Infringement, Insight Selection shall be entitled, at its sole and absolute discretion, to carry out the following:
Resume displaying material that has been removed pursuant to an IP Complaint Notice.
Where Insight Selection has taken any other action against the Alleged Infringer, Insight Selection may, at its sole and absolute discretion, determine the most appropriate recourse to be taken.

Where a Complainant would like to persist in asserting the Complainant’s claims based upon the IP Complaint Notice, Insight Selection requests that the Complainant show Insight Selection a relevant final court or arbitration judgment, order, decision or award in the Relevant Jurisdiction, before taking any further action.
